Cleanverse Terms and Conditions
Introduction
Welcome to Cleanverse (operated by Cleanverse International Pte. Ltd., a company incorporated in Singapore). These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User” or “Member”) and Cleanverse (“Cleanverse,” “Company,” “we,” “us,” or “our”). By accessing, browsing, downloading, or using the Cleanverse website, mobile application, or any related platforms, products, or services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in whole or in part, you must immediately discontinue use of the Service.
Cleanverse is a compliance-native infrastructure layer that integrates “clean identity” with “clean money.” The Service is a technology infrastructure layer that enables on-chain identity binding, asset provenance tagging, and programmatic compliance checks, ensuring that only verified users (through an A-Pass identity credential) may transact using verified and compliant digital assets (through A-Tokens ). Cleanverse does not provide regulated financial services, and does not act as a custodian, exchange, broker, dealer, payment service provider, money transmitter, or issuer of digital assets. Access to any regulated financial functionality is provided solely by independent third parties under their own licenses and terms. These Terms govern your access to and use of the Cleanverse website, mobile application, and related services, including but not limited to identity verification procedures, issuance and management of credentials, tokenized asset transactions, and any other features or functionalities of the Service. These Terms also set forth your rights and obligations as a User, as well as the conditions under which we make the Service available to you.
For the avoidance of doubt, Cleanverse's role is limited to providing software, protocols, and connectivity that facilitate compliance-native transfers between A-Pass-bound wallets. A-Tokens are internal technical instruments used solely to facilitate identity-bound transfers and do not represent money, securities, payment instruments, or claims against Cleanverse. Cleanverse does not intermediate, execute, clear, match, convert, or settle transactions between users, and does not hold, custody, or control user assets at any time. Any such regulated activities, if applicable, are carried out exclusively by independent licensed financial institutions under their own licenses and contractual arrangements with users.
Definitions
For the purposes of these Terms, the following capitalized terms have the meanings given below:
- User:
An individual (or an authorized representative of a legal entity) who registers for or uses the Service. - Service:
The Cleanverse website, mobile application, and any related platforms, services, software, application programming interfaces (APIs), technologies, and the Cleanverse compliance network, as provided by Cleanverse International Pte. Ltd. and its subsidiaries and affiliates. - A-Pass Credential (or “A-Pass”):
The Authenticated Pass, or compliance identity credential, issued to a User who has successfully completed Cleanverse's verification process. An A-Pass is a non-transferable, on-chain credential that attests to the User's identity and compliance status, and may be structured with different verification levels or tiers depending on applicable requirements. - A-Token (or Access Token):
An infrastructure-level tagged representation (a “mirror”) of an underlying regulated stablecoin or asset that a user has deposited or caused to be deposited via a Licensed Institution for use within the Cleanverse network. A-Tokens (i) exist solely to enable compliance-linked transfers between A-Pass-bound wallets; (ii) do not constitute legal tender, e-money, stored value, securities, or deposits; (iii) do not themselves carry or create independent monetary value or redemption rights against Cleanverse; and (iv) are non-transferable outside the Cleanverse environment except via redemption or off-ramp services provided exclusively by a Licensed Institution in accordance with its own terms and applicable law. - Bank Card/Account:
A credit or debit card issued to the User (e.g., Visa, MasterCard, etc.) that the User provides to the Service for identity verification and linkage of a verified bank account. - Wallet:
A cryptocurrency/digital asset wallet (which may be provided by a compatible third-party wallet) that holds the User's cryptographic keys, A-Pass credential, and any A-Tokens. Each User's wallet is uniquely linked to their identity via the A-Pass. - Licensed Institution:
An independent third party that holds the relevant regulatory authorizations (e.g., bank, payment service provider, stablecoin/RWA issuer, virtual asset service provider). Licensed Institutions (and not Cleanverse) conduct any regulated activities such as issuance, redemption, conversion, custody, or money transmission under their own licenses and terms. - Third-Party Verification Provider:
An independent service provider used by Cleanverse to perform Know-Your-Customer (KYC) and other identity verification checks. - Personal Data:
Any information relating to an identified or identifiable natural person, as defined under applicable data protection laws (including Singapore’s PDPA and, where applicable, the GDPR), which may be disclosed by Users or their representatives and processed strictly for onboarding, verification, compliance, support, or security purposes in accordance with the Privacy Policy.
(Additional terms may be defined elsewhere in these Terms or in the context of their use. In case of any ambiguity, definitions in this Section shall prevail.)
Eligibility and User Obligations
Eligibility Criteria: By using the Service, you represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into this agreement. The Service is intended for users who can form legally binding contracts under applicable law. If you are using the Service on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms, and “you” shall include that entity.
Permitted Use: You agree to use Cleanverse only for lawful purposes and in accordance with these Terms and all applicable laws and regulations. You are responsible for ensuring that your use of the Service does not violate any laws, including financial, anti-money laundering, and data protection laws in your jurisdiction. You further agree that you will not:
- Use the Service if you are located in, under the control of, or a national/resident of any country or region subject to embargoes or sanctions under the laws of Singapore, China, Hong Kong, Korea, the United Nations, the United States, the European Union, or any other applicable jurisdiction, or if you are identified on any sanctions or restricted parties list maintained by authorities such as OFAC (U.S.), the EU, MAS (Singapore), PBOC/SAFE (China), HKMA (Hong Kong), or the FSC (Korea).
- Use the Service if you are prohibited from doing so by any applicable law or if you have previously been suspended or removed from Cleanverse.
- Create or use false identities, or impersonate any other person or entity, in connection with using the Service. Each A-Pass credential you register must represent your own lawful identity or a valid entity you are authorized to act for.
- Allow any other person to use your account, wallet, or A-Pass credentials. Your Cleanverse account and associated wallet are personal to you. You are responsible for all activities that occur under your account or wallet, and you must not share your access credentials or private keys with anyone.
- Engage in any fraudulent, deceptive, or malicious conduct. This includes (but is not limited to) submitting false information for verification, attempting to circumvent network rules or compliance controls, using the Service to defraud any person, or conducting any transactions that are illegal (such as money laundering, terrorist financing, sanctions evasion, gambling where unlawful, or any other criminal activity).
- Attempt to interfere with, disrupt, or exploit vulnerabilities in the Service or its underlying blockchain networks. You must not introduce viruses, malware, or any other harmful material into the app or smart contracts, nor attempt any hacking, reverse engineering, or unauthorized access to any part of the Service or related systems.
- Use the Service to transmit, exchange, or store assets that are not compliant with Cleanverse rules. For example, you should not attempt to deposit non-whitelisted cryptocurrencies into the Cleanverse network or transfer A-Tokens to external, non-compliant wallets.
Local Law Compliance: You are solely responsible for ensuring that your access to and use of the Service is permitted under the laws and regulations applicable to you (including financial, sanctions, and data protection regimes). Cleanverse makes no representation that the Service is lawful, appropriate, or available for use in any particular jurisdiction, and disclaims any responsibility for your compliance with local law.
User Responsibilities: You are responsible for maintaining the confidentiality and security of your wallet and any device or credentials (passwords, private keys, seed phrases, etc.) that you use to access the Service. If you lose access to your wallet (for example, by losing your private key or recovery phrase), Cleanverse may not be able to help you recover any A-Tokens or credentials stored in that wallet. You should take appropriate measures to secure your devices and accounts (such as using device passcodes, biometric locks, and not exposing your private keys). Notify us immediately at our contact address in Section 17 if you suspect any unauthorized access to or use of your account or wallet.
You agree to promptly provide any information and cooperation that we reasonably request for compliance purposes. This may include responding to inquiries regarding your transactions or identity if unusual activity is detected, or providing additional documentation if needed to re-verify your status (for instance, if required by regulatory updates or periodic review). Failure to comply with such requests may result in suspension of your access to the Service (see Section 12).
Identity Verification and A-Pass Issuance
To maintain a secure and compliant network, all Users must undergo an identity verification process before obtaining an A-Pass credential and accessing certain features of the Service (such as transacting A-Tokens). By registering for Cleanverse, you agree to submit truthful, accurate, and up-to-date information for identity verification checks performed by independent Third-Party Verification Providers. Cleanverse itself does not provide Know-Your-Customer (“KYC”) and anti-money laundering (“AML”) services as a regulated reporting entity; rather, it relies on verification attestations or results provided by such third parties to determine whether a credential can be issued consistent with Cleanverse's programmatic compliance logic. The verification process is designed to ensure that each participant in Cleanverse is a real, identified person or entity who has passed standard KYC due diligence.
Key points regarding identity verification and A-Pass issuance:
- Scope of Verification: Identity verification typically involves submission of government ID/passport and liveness checks, and may include bank-account ownership verification. Verification outcomes are used solely to bind an A-Pass credential to your connected wallet for compliance screening within the network. Cleanverse does not certify legal eligibility to use any third-party financial product, nor warrant acceptance by any Licensed Institution.
- Third-Party Verification Service:
Cleanverse partners with independent verification providers to perform identity verification. This may require you to provide personal identifying information and documents, such as your full name, date of birth, government-issued identification (e.g., passport or ID card), a selfie or live facial verification, proof of address, and/or financial account information. In some cases, verification may involve linking a financial account (as detailed in Section 8). By undergoing the verification process, you authorize Cleanverse and our verification partner to collect and process your personal data for the purpose of identity verification, fraud prevention, and compliance with legal requirements. All collection and use of your data will be in accordance with our Privacy Policy and applicable data protection laws (see Section 7). - A-Pass Credential Creation:
Upon successful completion of the KYC/AML checks and any additional screening (such as sanctions or politically exposed person checks), Cleanverse will issue you an A-Pass credential. The A-Pass is a cryptographic credential that is bound to your designated wallet address. It serves as your on-chain identity proof within the Cleanverse network, indicating that you are a verified, compliant participant. The A-Pass credential is typically stored in your wallet (or on your device) and contains a digital attestation or cryptographic proof of verification status (and not your raw personal data). Cleanverse servers retain only hashed/anonymized proofs or minimal metadata necessary to verify credential validity on a per-transfer basis. Cleanverse acts as the credential attestor, meaning we vouch (based on the verification) that a given wallet address is controlled by a verified User. - Verification Levels (Tiers):
Cleanverse may implement different verification levels or A-Pass tiers to accommodate various use cases and regulatory requirements. For example, a basic Tier 1 A-Pass might correspond to a retail user with standard KYC, whereas higher tiers (Tier 2, Tier 3, etc.) might indicate an accredited investor or institutional user who has provided additional credentials or undergone enhanced due diligence. The tier of your A-Pass may determine which types of A‑Tokens or services you can access (e.g., certain asset tokens might only be available to higher‑tier Users). We will inform you of your verification level upon issuance of your A-Pass, and any limitations or privileges associated with it. You agree that you will not attempt to access tokens or services for which you are not eligible, and that Cleanverse may require further verification if you wish to upgrade your A-Pass tier (for instance, to prove accredited investor status). - Local Storage of Personal Data:
Cleanverse is designed with privacy in mind. Whenever possible, your sensitive personal information (such as identity documents or biometric data) will be stored locally on your device or by our trusted verification partner, rather than on Cleanverse's servers or blockchain. Cleanverse itself typically retains only cryptographic proofs, references, or hashed data sufficient to confirm that you have been verified, without retaining the underlying personal documents. This means that your device (or wallet) holds the detailed identity credential, and Cleanverse sees a confirmation of verification (for example, a digital certificate or token). You understand that if you delete the Cleanverse app or lose access to your device without backup, you may lose the locally stored data required for your credential — in such case, you may need to repeat verification to regain an A-Pass on a new device or wallet. - Consent and Accuracy:
You agree that all information you provide during the verification process is truthful and accurate. Misrepresenting your identity or providing fraudulent documents is a serious violation of these Terms and may result in termination of your account (and potential legal consequences). You also consent to Cleanverse performing ongoing screening as required (for example, automated checks against sanction lists or negative news) to ensure continued compliance. If any of your previously provided information becomes outdated or incorrect (e.g., you legally change your name, or your residency changes), you should inform us or update your information promptly, as this may affect the validity of your A-Pass. - A-Pass Use and Non-Transferability:
Your A-Pass credential is unique to you and may not be sold, transferred, or assigned to any other person. It is intended solely to enable your own access to the Cleanverse network. You must not disclose or share any secret aspects of the credential (if any) with others. Cleanverse reserves the right to revoke or suspend your A-Pass at any time if we have reason to believe that its integrity has been compromised or that you no longer meet our compliance requirements (see Section 12 on Suspension and Revocation). - No Account Creation Obligation: A-Pass is a non-transferable identity credential bound to your connected wallet. You are not required to create a custodial account with Cleanverse, and Cleanverse does not hold, manage, or recover your private keys or credentials.
A-Tokens and Network Rules
Cleanverse's payment network revolves around A-Tokens, which represent “clean” digital money on-chain. By using A-Tokens within Cleanverse, you agree to abide by the network rules governing their issuance, transfer, and redemption. The following provisions outline how A-Tokens function and the rules enforced by Cleanverse's smart contracts and policies:
- Issuance of A-Tokens:
A-Tokens are autonomously generated within the Cleanverse smart-contract environment when compliant funds are introduced via a Licensed Institution, solely for the purpose of enabling identity-bound transfers between A-Pass-verified wallets. Cleanverse does not itself issue, mint, or guarantee A-Tokens or any underlying asset. In practice, this occurs when a User or participant deposits regulated stablecoins through a whitelisted wallet address, or deposits fiat currency through an approved on-ramp partner, resulting in the creation of a corresponding amount of A-Tokens on the blockchain. Each A-Token is backed on a 1:1 basis by the underlying asset. For example, depositing 100 units of an approved stablecoin (or the equivalent in SGD/USD via a licensed banking partner) may result in the issuance of 100 units of an A-Token version of that asset (e.g., A-USDC for USDC stablecoin, or other designated symbols for different currencies/tokens). Only whitelisted, regulated entities are authorized to generate A-Tokens, and issuance will occur solely from verified and approved source accounts or wallet addresses that meet Cleanverse's compliance requirements. For the avoidance of doubt, A-Tokens are intended to circulate exclusively among A-Pass-verified wallets within Cleanverse and have no functionality, transferability, or settlement utility outside the Cleanverse environment except through an authorized off-ramp operated by a Licensed Institution. - Compliant Circulation:
A-Tokens circulate exclusively among A-Pass-verified wallets. The Cleanverse smart contracts are designed to reject or block transfers of A-Tokens to any wallet address that does not have a valid A-Pass credential. In other words, you can send or receive A-Tokens only with other Cleanverse users who are also verified. Transfers to external, non-compliant addresses are not permitted; such transactions will fail or be prevented by the system. This rule is fundamental to ensuring that funds do not leave the “clean money” environment except through a controlled off-ramp (see Redemption below). You acknowledge that any attempt to circumvent this (for example, by wrapping A-Tokens or using other proxies to move them outside the network) is a violation of these Terms and will be null and void within the Cleanverse system. - Transfer Rules and Limits:
All on-chain transfers of A-Tokens are subject to programmatic compliance checks. Cleanverse's smart contract layer enforces identity and asset provenance rules, which may include (but are not limited to) the following: (a) Sanctions and Blacklists - If a particular User's A-Pass is revoked or an address is blacklisted (due to sanctions, court order, or violation of these Terms), that address will be prevented from sending or receiving A-Tokens. Funds associated with such addresses may be frozen (the tokens locked in place) until the issue is resolved or the tokens are redeemed back to fiat under regulatory supervision. (b) Transaction Limits - Cleanverse may impose transaction or volume limits in accordance with regulatory requirements (for example, to comply with the “Travel Rule” or similar regulations, certain large transactions may require additional information or approvals, or may be disallowed if thresholds are exceeded). (c) Asset-Type Restrictions - Certain A-Tokens representing regulated assets (for instance, tokenized securities or real-world assets) may only be transferable among Users who meet eligibility criteria (e.g., only accredited investors can hold a particular token). Such restrictions will be coded into the tokens or enforced by off-chain checks, and you agree to only transact in assets for which you are qualified. The network rules may be updated from time to time to adapt to new regulations or risk policies, and Cleanverse will endeavor to notify Users of any material changes. - Redemption (Off-Ramping) of A-Tokens:
A fundamental principle of Cleanverse is that A-Tokens can be redeemed for their underlying asset only back to a verified, real-name account. If you wish to redeem A-Tokens for the applicable underlying asset or fiat currency (i.e., exit the Cleanverse environment), you must do so exclusively through an authorized off-ramp provided by a Licensed Institution. Cleanverse does not perform conversion, exchange, brokerage, or custody and does not accept redemption instructions or hold reserve assets. Typically, this will involve transferring A-Tokens to a designated redeem address or smart contract controlled by the same or another Licensed Institution, who will then credit the equivalent fiat amount to your linked bank account (or release the underlying stablecoins to a verified external wallet under your control). You may be required to prove that the receiving bank account or external wallet is indeed yours (likely it will be the same account you used during onboarding or another KYC-approved account). Cleanverse and its partners will not allow redemption of A-Tokens to accounts or wallets that are not verified or that belong to someone else this is to prevent “clean” funds from being transferred to potentially unverified or illicit parties. Once A-Tokens are redeemed and leave the Cleanverse network, we cannot guarantee their continued compliance or traceability; however, we will log and record the necessary details of the redemption for audit and compliance purposes. - Asset Backing and No Value Guarantee: Each A-Token is intended to be fully backed by an equivalent value in the underlying asset (e.g., held in reserve by the issuing institution). However, Cleanverse itself does not issue or guarantee the underlying asset. For example, if A-USDC tokens are generated, they correspond to USDC held by an issuer (or fiat backing that USDC by the issuer); Cleanverse is not the issuer of USDC and does not control its redemption outside our network. We strive to work only with reputable, regulated partners and assets, but we do not make any guarantee of the value, liquidity, or redeemability of any underlying asset. The value of A-Tokens may depend on the solvency and obligations of third-party issuers (like stablecoin providers or banks). You acknowledge that using A-Tokens involves risks, including potential loss of value if the underlying asset fails or the issuer defaults. Cleanverse will not be liable for any loss in value of A-Tokens due to external failures of the asset backing (see Section 14, Limitation of Liability). A-Tokens do not evidence or create any claim, entitlement, or right against Cleanverse. Cleanverse makes no representation or warranty as to the value, solvency, liquidity, or redeemability of any underlying stablecoin or asset, and shall not be liable for any shortfall, failure, or default of any issuer or custodian.
- Smart Contract Enforcement:
You acknowledge that many of the rules above are enforced automatically by smart contracts on the blockchain. For instance, if you attempt to send A-Tokens to an address without an A-Pass, the transaction will not execute successfully. You agree not to attempt to modify, subvert, or exploit the smart contracts governing Cleanverse. Cleanverse may upgrade or modify its smart contracts from time to time (such as deploying new versions or patching vulnerabilities); in such events, we will make efforts to ensure continuity of your assets and credentials (e.g., migrating A-Tokens or A-Pass credentials to new contracts if necessary) and will inform Users of any action needed on their part. Your use of A-Tokens and the Cleanverse network is subject to the inherent limitations of blockchain technology, including the possibility of network congestion, miner fees (see Section 9 on Fees), and irreversible transactions. Double-check all transaction details (amounts, recipient addresses) before initiating transfers, as mistaken transactions may not be reversible. - Prohibited Uses of A-Tokens:
Because A-Tokens are “clean” assets intended for transparent lawful commerce, you agree not to use them for any prohibited or high-risk activities. This includes not using A-Tokens to mask or cleanse funds from non-compliant sources, not engaging in gambling, fraud, or other illegal transactions using A-Tokens, and not attempting to use A-Tokens outside the Cleanverse network in a way not intended (e.g., depositing A-Tokens into external smart contracts or liquidity pools without authorization, as they are meant to circulate within the approved network only). Cleanverse reserves the right to trace and monitor A-Token transactions, and you consent to such monitoring and analysis for compliance purposes. Any A-Token found moving or being used in violation of these rules may be subject to freezing or seizure as appropriate and as required by law. You agree not to use A-Tokens for any exchange-like activity (including order-matching, market-making, or liquidity pooling) or to represent A-Tokens as independent stores of value or claims outside Cleanverse.
Wallets and Compliance Controls
Each User's identity in Cleanverse is tightly linked to their wallet, ensuring that transactions carry provenance and accountability. This Section describes the relationship between your Wallet and your identity, as well as the compliance controls that Cleanverse may enforce at the wallet/account level:
- Wallet Binding to Identity:
When you are onboarded and issued an A-Pass, it will be cryptographically associated with the blockchain wallet that you control. In practice, this means either (a) you will create or be provided a new Cleanverse wallet within our app during registration, and the A-Pass credential will be issued to that wallet address; or (b) if Cleanverse supports external wallets, you will connect a wallet (e.g., via a digital signature proving control of the address) and then receive an A-Pass tied to that address. Your wallet address thus becomes your identifier in the Cleanverse network, backed by your verified identity. All A-Token transactions you perform will be from this whitelisted address. You must only use wallet addresses that have been approved and linked to your A-Pass. Using any other address that is not associated with your identity to send or receive A-Tokens is not permitted. If you wish to use a new or different wallet (for example, if you lose access to the original), you will need to go through a re-binding or re-verification process for that new address. Cleanverse may, at its discretion, allow you to have multiple addresses linked to a single identity (for instance, one for mobile app use and another hardware wallet for cold storage), but each such address must be explicitly verified and authorized. - Security of Wallet and Private Keys:
You are solely responsible for the security of your wallet and the private keys or other credentials associated with it. Cleanverse's model generally makes you the custodian of your own assets and identity token - meaning we do not hold your private keys, and we cannot recover them or reverse transactions if you misplace them. Ensure that you keep any backup phrases or keys in a safe place. Do not jailbreak or root your device or otherwise undermine its security, as this could expose your wallet to compromise. Cleanverse will never ask you for your private keys or seed phrase; beware of phishing attempts. If you suspect your wallet has been compromised (e.g., your keys stolen or someone else gained access), you must contact us immediately. We can attempt to take measures such as suspending the A-Pass or freezing assets (as described below) to prevent unauthorized transfers, but we cannot guarantee prevention of loss if your keys are already misused by an attacker. - Blacklists and Freezing of Wallets:
Cleanverse, in coordination with its compliance team and potentially at the direction of regulators or law enforcement, maintains the right to blacklist certain wallet addresses or Users from the network. If your wallet/address is blacklisted, you are no longer permitted to transact within Cleanverse; any attempted A-Token transfers to or from your address will be rejected. Blacklisting may occur for reasons including (without limitation): you are identified as a sanctioned person or entity, you are found to be in breach of these Terms or involved in fraudulent/illegal activities, or we receive a legal order to do so. In severe cases (such as clear evidence of illicit activity), we may alsofreeze the A-Tokens in your wallet. Freezing typically means the assets cannot be moved or redeemed without authorization — effectively, the A-Tokens remain on-chain but are locked pending resolution. Cleanverse may implement freezing by instructing the relevant token smart contract or the issuer institution to mark the tokens as non-transferable. You acknowledge that Cleanverse has the technical ability (through built-in smart contract controls or admin keys held by the compliance authority of the network) to carry out such account-level interventions, and you consent to the use of these measures to uphold the law and the integrity of the network. If your A-Pass is revoked or suspended, your wallet will be treated as unverified and therefore incapable of transacting with A-Tokens until and unless the credential is reinstated. - Regulatory Cooperation:
Cleanverse may be required to enforce specific compliance actions on wallets in order to adhere to regulations. For example, if a particular address is implicated in a law enforcement investigation, we might be obligated to freeze assets or to assist with information about that address's activity. Cleanverse will comply with court orders, subpoenas, or directives from regulatory bodies that have jurisdiction over our operations. By using the Service, you acknowledge that your usage may be subject to monitoring and intervention for compliance reasons. You waive any claims against Cleanverse for any action it takes in good faith to comply with applicable laws or regulations, including those resulting in temporary or permanent limitations on your wallet or assets. - Multiple Wallets and Transfers:
If Cleanverse allows multiple wallets per User (or institutional accounts with sub-wallets), be aware that internal transfers between your own verified wallets might still be recorded and monitored. All your wallets under your identity remain subject to the same rules. You should not attempt to bypass limits by splitting assets across multiple wallets. Cleanverse may treat aggregated activity across wallets under common control as a whole for risk and compliance monitoring. If we suspect that seemingly separate wallets actually belong to the same user in an attempt to circumvent rules (for example, to stay under transaction limits), we reserve the right to take corrective action (including linking those wallets, imposing limits, or closing accounts). - Wallet Compatibility:
The Cleanverse network may operate on specific blockchain(s) (for instance, Solana or others). Your wallet must be compatible with the relevant chain and token standards we use. If using an external wallet, ensure it supports the A-Pass credential format (which might be implemented via smart contract token, Soulbound Token, or other mechanism) and the A-Token contract standards. Cleanverse is not responsible for any issues arising from incompatibility if you choose to use third-party wallet software or hardware. - No Custody:
Cleanverse does not at any time take possession of, control, or hold private keys to any wallet. You remain solely responsible for safeguarding your wallet and private keys. Cleanverse cannot reverse transactions, restore access, or recover assets resulting from loss or compromise of your credentials or device.
Data Privacy and Security
Your privacy and data security are extremely important to us. Cleanverse seeks to minimize the personal data we collect and to protect any data that we do handle. This section outlines how we treat your personal information in the context of the Service (note that our full Privacy Policy provides more detailed information and is incorporated by reference into these Terms):
- Data Minimization:
Cleanverse's philosophy is to keep personal identifiable information (PII) off-chain and, to the extent possible, off our servers. Aside from what is needed for compliance and operations, we do not collect excessive data. Personal Data submitted for verification (e.g., ID documents, liveness data, or bank-ownership evidence) is used solely for verification and compliance purposes by Third-Party Verification Providers. Cleanverse ordinarily receives only verification outcomes, references, or cryptographic proofs and does not store raw identity documents, biometric data, or full bank details on its servers. For example, if you submit documents through the app, they may be sent securely to the verification provider and not stored long-term by Cleanverse. Cleanverse itself may retain only a reference or verification result (for instance, a pass/fail status, a customer ID number, or a cryptographic hash of your document) to record that you have been verified. We will not store your full documents or facial scans on our public servers unless necessary, and certainly not on any public blockchain. - On-Device Storage:
Certain personal data and credentials (including your A-Pass) are stored locally on your device or within your wallet. This means that you maintain control over that data. For instance, the details of your identity attestation might reside in an encrypted form in the app's secure storage, or the A-Pass credential might be a token/NFT held in your wallet address. Cleanverse servers do not have access to this information unless you choose to share it. When you authorize a data share (for example, responding to a verification request from a third party, or if you initiate a transaction requiring Travel Rule information exchange), only the necessary data will be transmitted, and typically only with your consent. Where feasible, Personal Data and credentials (including A-Pass) are stored locally on your device or wallet. With your authorization, Personal Data may be transmitted directly from your device to a querying Licensed Institution or counterparty for Travel Rule or compliance purposes; Cleanverse servers may only relay encrypted payloads or proofs without persisting raw Personal Data. - Use of Personal Data:
Any personal data we do collect or receive will be used in accordance with our Privacy Policy and applicable laws. Generally, we use your data to: create and administer your account, provide the Service functionalities (like verifying your identity, issuing A-Pass, and facilitating transactions), comply with legal obligations (such as KYC/AML record-keeping, responding to lawful requests by authorities), prevent fraud or misuse, and improve or personalize the Service. We will not sell your personal information to third-party marketers. We may share certain data with third parties only as needed for providing the Service or as required by law — for example, with the verification provider, with the Licensed Institution handling your deposits/redemptions, with analytics or infrastructure service providers (under strict security and confidentiality agreements), or with regulators/law enforcement if mandated. By using Cleanverse, you consent to such use and sharing of data for the aforementioned purposes. - Data Security Measures:
We implement industry-standard security measures to protect your data and our systems. This includes encryption of data in transit (e.g., using HTTPS and secure channels for all communications), encryption of sensitive data at rest, access controls to ensure only authorized personnel can access necessary information, regular security audits, and compliance with data protection regulations like Singapore's PDPA and, where applicable, the EU's GDPR. Our third-party providers are also vetted for strong security practices (for instance, our KYC provider is likely ISO 27001 certified or similarly attested). While we work hard to protect your information, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security. You acknowledge that you provide information at your own risk. In the unlikely event of a data breach involving your Personal Data, we will notify you and the relevant authorities as required by law. While Cleanverse implements appropriate technical and organizational measures, you acknowledge that no method of transmission or storage is entirely secure and that you remain responsible for the security of your device and wallet. - User's Role in Security:
You also play a crucial role in safeguarding your data. Remember that because some data is stored on your device, if someone gains access to your unlocked device or your wallet, they could access your sensitive information. Always use strong PINs/passwords for the app and your device, and do not share authentication codes or backup phrases with others. If the Service offers additional security features like two-factor authentication (2FA) or biometric login, we encourage you to use them. Keep your app and device software up to date to benefit from the latest security patches. - Privacy Policy:
For more information on how we handle your data, please refer to our Privacy Policy (available through the app or our website). The Privacy Policy is hereby incorporated into these Terms by reference. By accepting these Terms, you are also acknowledging the practices described in the Privacy Policy. If there is any conflict between these Terms and the Privacy Policy regarding data protection matters, the Privacy Policy will govern. - Data Retention and Deletion:
We will retain your Personal Data only for as long as necessary to fulfill the purposes for which it was collected, or as required by law (for example, financial regulations often require retention of certain KYC records for a minimum period, such as 5 years from the end of the customer relationship). If you close your account or if we terminate your access, we will securely delete or anonymize your personal data in our possession within a reasonable timeframe, except to the extent we are required to retain it for legal compliance or legitimate business interests (e.g., maintaining transaction records, or in case of litigation hold). Personal data stored in your own device or in backups is your responsibility to delete. Due to the decentralized nature of blockchain, any on-chain data (like transactions or hashed credentials) cannot be deleted by us; however, those typically do not contain plain personal info. - Consent to International Transfer:
Cleanverse is a global service. You acknowledge and agree that we may transfer, store, and process your personal data in countries other than your country of residence, including Singapore (where we are headquartered), as well as other jurisdictions in which our subsidiaries, affiliates, service providers, or partners operate. We will use commercially reasonable efforts to ensure that any such transfers comply with applicable data protection and cross-border transfer laws, and that your personal data remains protected through appropriate contractual, technical, and organizational safeguards.
Bank Card/Account Verification
As part of Cleanverse's identity verification process, you may be asked to provide details of a bank card or bank account in order to confirm that the account belongs to you. This step is designed solely to verify ownership and perform name-matching against your Cleanverse profile for compliance purposes.
- Ownership Representation:
By providing bank card or account information, you represent and warrant that you are the lawful owner of, or otherwise duly authorized to use, the specified account. - Verification Process:
Cleanverse (through its designated payment processor or banking partner) may conduct a nominal transaction or equivalent check to verify that the provided account is valid and in your control. The amount involved, if any, will be a trivial sum that is refunded or offset, and is not intended as a fee. The sole purpose of this process is to confirm account ownership and match your details with your verified identity. - No Binding of Account:
Cleanverse does not bind or link your bank card or bank account to the Cleanverse app or Service. The account is used exclusively for verification purposes and will not be retained, stored, or used for payments, transactions, or future activity within Cleanverse, except where separately authorized by you. - Data Security:
Any bank card or account information you provide will be transmitted and stored securely using encryption and industry-standard safeguards. Cleanverse may rely on trusted third-party service providers to process verification, who are contractually obligated to protect your information. Please refer to our Privacy Policy for further details. - Fees:
Cleanverse does not impose any fee for this verification step. However, your bank or card issuer may apply incidental fees (such as foreign transaction charges, conversion fees, or processing fees) that are outside Cleanverse's control and remain your responsibility. - Disputes and Issues:
If you encounter any problems (e.g., you do not receive a refund of a nominal amount, notice an incorrect deduction, or detect an unauthorized transaction), you must notify us immediately. Cleanverse will investigate and assist to the extent possible. Cleanverse is not responsible for errors or delays caused by third-party banking networks or your financial institution.
By completing this verification step, you help ensure that your A-Pass credential is anchored to a verified financial account, thereby supporting the integrity and compliance standards of the Cleanverse network.
Fees & Charges
Using the Cleanverse Service may involve certain fees and charges, arising from both Cleanverse and third-party services. This section outlines the various types of fees that you should be aware of:
- Cleanverse Service Fees:
At present, Cleanverse does not charge a general usage fee for end users to obtain an A-Pass credential or to transact with A-Tokens. Creating an account, undergoing verification, and receiving an A-Pass are free of charge from Cleanverse's side. Cleanverse does not charge fees for exchange, conversion, or custody (as Cleanverse performs none of these activities). Any fees associated with deposits, redemptions, conversions, or on/off-ramp services are charged by the relevant Licensed Institution and are outside Cleanverse's control. However, Cleanverse reserves the right to introduce fees in the future for certain premium features or services. For example, if we launch value-added services (such as subscription plans for business users, or A-Pass Tier upgrades), those might come with fees which will be clearly communicated and would likely be optional. We will not begin charging you for any currently free service without providing notice and an opportunity to opt out or discontinue use before such charges apply (see Section 15 on Amendments for how we would notify changes). - Network and Transaction Fees:
Transactions on public blockchains often incur network fees (sometimes called “gas” fees, miner fees, or validator fees). When you move A-Tokens on the blockchain, a network fee may be required to pay the miners/validators who process the transaction. Cleanverse's smart contracts are built on underlying blockchain infrastructure (which could be Solana or others), and we do not control the base network fees. You are responsible for paying any applicable blockchain transaction fees when you initiate a transfer or perform an on-chain action. Our app may abstract or simplify this, but generally the cost will be passed to you or deducted from your balance. We will always try to inform you of the fee amount (or an estimate) before you confirm a transaction. Note that network fees can fluctuate based on network congestion and other factors outside Cleanverse's control. We are not liable for changes in these fees or any delays caused by fee-related issues (e.g., if you set a low gas fee and the transaction is slow or fails). - Fees for Conversions and Redemptions:
If you deposit or redeem funds through a Licensed Institution partner, there may be fees associated with those services. For example: a bank or payment processor might charge a wire transfer fee for moving fiat into or out of the system; a stablecoin issuer might charge a small fee for minting or redeeming tokens; or an on-ramp service might have a commission or spread on currency conversion. Such fees are typically determined by the third-party providers and are beyond Cleanverse's direct control. We will endeavor to work with partners that offer low fees, and we will disclose known fees or get your approval when you use those services via our app. Ultimately, you are responsible for third-party fees incurredwhen you move money into or out of Cleanverse. For instance, if you decide to deposit $100 via a bank transfer and your bank charges you $5 for that transfer, Cleanverse will not reimburse that $5 — it's a cost of using your bank's services. Similarly, if a stablecoin redemption has a fee (e.g., some stablecoin issuers charge a basis point fee for large redemptions), that cost will likely be borne by the user requesting redemption. We will make any such fees as transparent as possible in the user interface. - A-Token Transaction Fees (Cleanverse-specific):
Cleanverse itself might impose small fees on A-Token transactions in the future (for example, a tiny fraction per transfer or a custody fee for prolonged holding) in order to sustain the network or comply with regulatory cost recovery (some regulated networks charge nominal fees to discourage spam transactions or cover monitoring costs). As of the latest update of these Terms, Cleanverse does not charge any additional fee on A-Token transfers beyond the normal blockchain gas fees. If any Cleanverse-specific transaction fee is introduced, it will be clearly communicated and likely built into the smart contract (so you would see it as part of the transaction details before confirming). - Subscription or Service Fees:
Cleanverse may offer certain optional services that require payment. For example, a business-oriented feature (like the A-Pass Verification Service that allows queries of another user's credential, as referenced in separate business terms) might require purchasing credits or tokens (Cleanverse might have a utility token or use stablecoins for fees), or a monthly subscription. Any such fees would be described in separate terms or within the relevant service's interface. They will not be charged to you unless you actively sign up for those services. For normal individual usage of Cleanverse as a compliance-native infrastucture, no subscription fee applies. - Bank Charges and Currency Conversion:
If your Cleanverse transactions involve currency conversion (say you deposit funds in one currency and it's converted to another for on-chain use), there might be conversion fees or exchange rate spreads. Those are typically set by the financial institution or payment provider handling the conversion. Similarly, if you use a credit/debit card and the transaction is processed in a foreign currency (not the currency your card is denominated in), your card issuer may levy foreign transaction fees. All such charges are considered third-party charges for which you are responsible. Cleanverse does not add any extra markup on currency conversions that our partners execute, but we also do not control their exchange rates. We advise you to use local currency options where possible to minimize these costs, and we will try to present options to you in the app. - Taxes:
Cleanverse does not charge or withhold any taxes on transactions, but you are responsible for any taxes or duties that may apply to your use of the Service. This could include, for example, any sales/VAT/GST on fees, any income tax on rewards or gains, or any other applicable taxes in your jurisdiction related to holding or transacting digital assets. We encourage you to consult with a tax professional if you are unsure about the tax implications of your activities on Cleanverse. Cleanverse may, where required by law, provide you or authorities with reports of transactions or values, but it will not calculate or pay taxes on your behalf except if mandated (like if a withholding is legally required for certain payouts; we would notify you in such case). - No Hidden Charges:
We commit that we will not hide any fees. All fees either will be disclosed in these Terms, in our Fee Schedule (if we publish one separately), or shown at the point of transaction. If you believe a fee has been applied to you in error or without proper disclosure, please contact us and we will review the situation. If a mistake occurred on our part, we will correct it (for instance, refund an improperly charged fee).
In summary, most of Cleanverse's core features are free of charge to Users, and the main costs you may incur come from third-party financial rails (banks, blockchain networks) rather than Cleanverse itself. We want the platform to be as accessible as possible while covering necessary operational costs in a fair manner. All fees are subject to change, but changes will follow the amendment procedures outlined in Section 15.
Third-Party Services and Links
Cleanverse integrates with or relies upon various third-party services to deliver a seamless compliance and payment experience. While we strive to work with reliable partners, Cleanverse is not liable for the acts or omissions of these independent parties. By using our Service, you acknowledge and agree to the following regarding third-party services:
- Identity Verification Providers:
As noted, a third-party may handle the KYC verification workflow. When you submit personal information or documents through the Cleanverse app for verification, you might actually be interfacing with the third-party's system (for example, a webview or SDK of the verification provider). That provider may have its own terms of service and privacy policy, which you may be required to accept when completing the verification. Cleanverse is not responsible for any error or data breach on the part of the verification provider, but we do ensure that any provider we use is reputable and compliant with privacy laws. If the third-party verification service rejects your documents or if there's a technical failure on their side, Cleanverse will try to facilitate a resolution, but ultimately the decision of that provider might be final as to passing or failing the check. We cannot guarantee verification success, as it may depend on external databases and checks (for instance, if your document is flagged or the provider's automated system has issues). - Banks and Payment Networks:
Cleanverse does not provide or directly operate banking services. Any interaction with your bank account or bank card—including deposits, withdrawals, or transactions executed through established payment networks (such as Visa, MasterCard, SWIFT, ACH, FAST, or similar systems)—is conducted through third-party financial institutions. Your relationship with your bank or card issuer is independent of Cleanverse and is governed solely by the terms and conditions of that institution. In the event of a dispute or issue relating to a bank transaction (including, without limitation, chargebacks, unauthorized use of a card, or failed wire transfers), you must resolve such matters directly with your bank or card issuer. Cleanverse may, to the extent permitted by law, provide supporting information to you or your financial institution, but Cleanverse does not have the authority to reverse, cancel, or compel the execution of any banking transaction. You further acknowledge that any funds held with, or transmitted through, a financial institution remain subject to that institution’s terms, conditions, and applicable insurance schemes.For example, balances held in a bank account may be covered by statutory deposit insurance up to the prescribed limit, whereas funds converted into digital tokens may not benefit from such protection. These matters fall outside the scope of these Terms and are governed by the policies of the relevant third parties. - Licensed Token Issuers and Custodians:
A-Tokens are generated and redeemed by licensed third parties. For instance, if A-USDC tokens represent actual USDC held by a partner, that partner is responsible for maintaining the fiat reserve and honoring redemptions. Cleanverse does not take custody of fiat funds; the Licensed Institution does. If that institution fails to honor a redemption or if it faces insolvency or technical issues, this could impact your assets. Cleanverse is not guaranteeing the performance of these issuers or custodians. We diligently vet and select such partners, but they operate under their own regulatory licenses and frameworks. Any legal agreements or terms between you and the issuing institution (like a stablecoin’s terms of use) are separate from Cleanverse’s Terms. We strongly encourage you to familiarize yourself with the terms of any stablecoin or asset you use on Cleanverse (often available on the issuer’s website). For example, using USDC implies agreement with Circle’s terms for USDC; if those terms say something about risks or redemption, those would apply. Cleanverse’s role is to facilitate your interaction with those assets in a compliant way, but we do not become a party to the contract between you and the asset issuer. - External Wallets and Software:
If you use a third-party wallet or key management solution in conjunction with Cleanverse (for instance, exporting your A-Pass credential to a hardware wallet, or connecting via a Web3 wallet like MetaMask if supported), be aware that such usage is outside of our controlled environment. Any security breach or malfunction of a third-party wallet is not Cleanverse’s responsibility. Similarly, if we provide links or integration to third-party software, use those at your own risk under those third parties’ terms. Cleanverse might facilitate connectivity (through API or otherwise) but doesn’t endorse or assume liability for external software. - Information and Content from Third Parties:
The Cleanverse app or website may occasionally display information provided by third parties – for example, exchange rates, market prices of underlying assets, news feeds, or compliance alerts from sanctions lists. We strive for accuracy, but we often rely on the sources of that data (such as financial data providers or public databases). Cleanverse is not responsible for any inaccuracies in third-party provided information. It’s always wise to double-check critical information from multiple sources, especially before making financial decisions. - Links to External Sites:
Our app or site might contain links to external websites or resources for your convenience (for example, a link to our partner bank's site, or to a regulatory guidance document, or to an educational blog). These links do not signify endorsement, and we have no control over the content or availability of those external resources. If you click an external link, you do so at your own risk. We encourage you to read the terms and privacy policies of any site you visit. - Third-Party Independence:
No third-party service provider used by Cleanverse (including verification services, banks, token issuers, wallet providers, etc.) is a joint venture, partner, agent, or employee of Cleanverse. They are independent entities. Cleanverse is not liable for their products, services, acts, or omissions. Regulated financial activities, including issuance, redemption, conversion, or custody of underlying assets associated with A-Tokens, are conducted exclusively by independent Licensed Institutions under their own terms and licenses. Cleanverse does not guarantee, and expressly disclaims responsibility for, the performance, solvency, or obligations of any third-party provider. Likewise, none of those third parties has authority to make commitments or representations on behalf of Cleanverse. Each party (Cleanverse and the third-party) is responsible for its own compliance with applicable laws. For example, a bank partner will be responsible for its banking license compliance, and Cleanverse for its tech platform compliance; one does not cover the other. - Service Availability and Support:
Some parts of the Service might actually be operated by third parties. For instance, if identity verification is down for maintenance on the provider’s side, that part of Cleanverse will be temporarily unavailable. We will do our best to inform you and resolve such issues, but understand that downtime or performance issues can occur at the third-party level beyond our direct control. If you encounter an issue attributable to a third-party service integrated with Cleanverse, you can contact our support and we will liaise with the provider as needed. You may also have the option to contact that provider directly, but we generally suggest starting with Cleanverse support so we can track the issue.
In summary, while Cleanverse offers a unified platform, under the hood it relies on various regulated and technical partners to function. We take care in selecting and working with these partners, but each retains responsibility for their portion of the service. We appreciate your understanding that Cleanverse’s liability is limited in cases where an issue is caused by third-party services (further details in Section 14). Always exercise the same caution you would when dealing directly with those third parties.
Compliance Obligations of Users (AML/CFT, Sanctions, and Lawful Conduct)
Cleanverse operates in a highly regulated context, and we are committed to preventing illicit activities on our platform. As a User of Cleanverse, you have certain compliance obligations to uphold. By agreeing to these Terms, you specifically commit to the following:
- No Money Laundering or Terrorism Financing:
You shall not use Cleanverse, its A-Pass credentials, or A-Tokens for any form of money laundering, terrorist financing, or other illicit financial activities. This means you will not attempt to disguise the origin of funds, transfer funds on behalf of someone else to hide their identity, or participate in any transaction that is meant to further criminal purposes. You confirm that all funds you bring into Cleanverse (whether fiat or crypto converted to A-Tokens) are from legitimate sources and are owned or legally controlled by you. If at any time Cleanverse suspects that your activities may be suspicious or unlawful, we may request additional information or documentation from you, and we reserve the right to take appropriate action (including freezing assets and/or reporting to authorities) as described in Section 12. - Sanctions and Prohibited Persons:
You represent that you are not subject to any sanctions or embargoes imposed by the government of Singapore, China, Hong Kong, Korea, the United Nations, the United States, the European Union, or any other applicable jurisdiction, or if you are identified on any sanctions or restricted parties list maintained by authorities such as OFAC (U.S.), the EU, MAS (Singapore), PBOC/SAFE (China), HKMA (Hong Kong), or the FSC (Korea), and you are not owned or controlled by such a prohibited person. You also agree not to initiate or receive transactions involving any person or entity that is sanctioned or located in a country that is comprehensively sanctioned (for example, you should not use Cleanverse to send funds to someone in a sanctioned jurisdiction or to an individual who is blacklisted). Cleanverse implements screening procedures to identify potential sanctions exposure, but we also rely on your commitment and transparency. If your status changes (for instance, if you become subject to sanctions or are formally notified that you may be put on a sanctions list), you must cease using Cleanverse immediately and inform us. We will likewise suspend your account in such a case. - Compliance with the Travel Rule and Information Sharing:
Certain jurisdictions enforce what is known as the “Travel Rule” (e.g., FATF Recommendation 16), which requires financial institutions (and by extension, compliant crypto service providers) to include and exchange identifying information about the originators and beneficiaries of transactions above certain thresholds. You agree to comply with any information requirements under such regulations. For example, if you initiate a large A-Token transfer that triggers Travel Rule thresholds, Cleanverse may require you to provide details such as the name and account identifier of the beneficiary (if the transfer is going to another person) or additional details about the purpose of the transaction. We may also be required to transmit your name, account number (which could be your wallet address plus an identity reference), and other KYC information to the receiving institution or wallet provider, and to receive the beneficiary’s information if you are the recipient. By using the Service, you consent to this exchange of information for compliance purposes. We will handle such data carefully and only share it as required with the appropriate counterparty or authorities. Refusal to provide required information may result in the transaction being blocked or your access being restricted. - No Circumvention of Compliance Controls:
You shall not take any action intended to bypass, evade, or undermine Cleanverse's compliance controls. This includes: not structuring transactions (breaking them into smaller parts) to avoid reporting thresholds; not providing false or misleading information during verification or transaction due diligence; not using any anonymizing techniques or services (like mixers, tumblers, or privacy coins) in connection with Cleanverse that would obscure transaction data; and not otherwise attempting to hide your identity or the nature of your transactions. Cleanverse reserves the right to monitor transactions for patterns of evasion (e.g., multiple small transfers that aggregate to a large amount) and to investigate and act if such behavior is detected. You further agree not to engage in any behavior intended to circumvent the A-Pass-bound model or Travel Rule information exchange (including wrapping A-Tokens or using intermediaries to effect transfers to unverified wallets). - Regulatory Reporting:
You acknowledge that Cleanverse and its partners are subject to regulatory reporting requirements (such as filing suspicious transaction reports (STRs) or suspicious activity reports (SARs) with relevant authorities, reporting large cash transactions, etc.). Cleanverse will fulfill its legal obligations in this regard. Any such reports or disclosures to regulators may be made without notifying you, due to legal restrictions (in many jurisdictions, tipping off a user about a suspicious activity report is prohibited). By using the Service, you accept that we may report transactions or user information to comply with anti-money laundering (AML), countering financing of terrorism (CFT), fraud prevention, or other regulations. - Ongoing Compliance and Cooperation:
Compliance is not a one-time event at signup – it’s ongoing. We may from time to time require you to reconfirm information or provide fresh documentation (for example, if our annual KYC review of your account is due, or if your transaction behavior changes significantly prompting a review). You agree to cooperate with any such requests promptly. This also extends to cooperating with any legal requests: if law enforcement or a court legally compels Cleanverse to obtain information from you (like the source of funds for a particular transaction), you agree to work with us to provide accurate and timely information. Failure to cooperate may be treated as a serious violation of these Terms. - Legal Use of Service:
You commit to using Cleanverse only for legal purposes. You will not use the Service to support or engage in any activity that is illegal under any law that applies to you or to Cleanverse. This includes (without limitation) activities related to: illegal gambling operations; fraud; theft; trafficking of any illegal goods (such as drugs, weapons, human trafficking); infringement of intellectual property rights; cyber-crimes or hacking; or any activity that would constitute a criminal offense or give rise to civil liability. Cleanverse will cooperate with law enforcement as needed to address any unlawful use of the platform. - User’s Own Compliance:
If you are using Cleanverse for business or on behalf of an organization, it is your responsibility to ensure that your use of the Service aligns with any laws or regulations that apply to you or your organization. Cleanverse provides the tools for compliance, but for example, if you are a financial institution yourself using our network, you must still fulfill your own AML/KYC obligations regarding your customers. Nothing in these Terms relieves you of your independent legal obligations. - Transaction Monitoring and Analysis:
You understand and accept that Cleanverse (and our partners) will be monitoring transactions and usage patterns for compliance purposes. We may use automated systems and blockchain analytics tools to detect potential illicit activity (for example, identifying if incoming funds to Cleanverse originate from known darknet marketplaces or mixing services, or if your usage pattern is atypical compared to your profile). These tools might involve profiling and algorithmic analysis. While we aim to respect user privacy, compliance with law and prevention of crime is a paramount goal of Cleanverse. By using the Service, you consent to this form of monitoring. If a transaction or activity is flagged by our systems, we may delay or block the transaction and will typically review it manually. We might reach out to you for clarification or additional info. Cleanverse is not liable for any loss or opportunity cost if we delay a transaction for review or refuse to execute a transaction that we reasonably suspect is unlawful or violates these Terms. - Accuracy of Information:
You must ensure that all information you provide us (at signup, during verification, or any other time) is accurate and complete. If we determine that you have provided false, misleading, or incomplete information, we may immediately suspend or terminate your account (see Section 12) and you could be subject to legal penalties. For example, providing a fake name or someone else’s identity documents is a serious offense.
In essence, you agree to be a law-abiding, transparent participant in the Cleanverse network. The promise of Cleanverse is a clean and compliant ecosystem, and that relies on each user’s cooperation and integrity. We take these compliance obligations extremely seriously. If you have any doubt about whether a particular action or usage of Cleanverse is allowed, please contact us for guidance before proceeding. We reserve the right to refuse service or certain transactions if we believe it poses unacceptable compliance risk.
Suspension, Revocation and Enforcement Actions
Cleanverse reserves the right to suspend or terminate your access to the Service, revoke your credentials, or take other enforcement measures as necessary to uphold these Terms, protect the network's integrity, or comply with legal requirements. This section explains the circumstances and manner in which we may do so:
- Grounds for Suspension or Termination:
We may suspend (temporarily disable) or terminate (permanently end) your Cleanverse account and/or A-Pass credential without prior notice if we, in our reasonable opinion, determine that:- You have violated any provision of these Terms (for example, engaging in prohibited conduct, providing false information, or misusing the Service).
- You are engaged in activity that is suspected to be fraudulent, illegal, or that poses unacceptable risk (e.g., we detect signs of money laundering, account takeover, or you become sanctioned).
- You fail to comply with a request for information or documentation for compliance purposes, or you refuse to cooperate in an investigation by us or any regulatory authority.
- We have reason to believe the security of your account or wallet has been compromised (e.g., your private key may have been stolen, or there have been suspicious login attempts) and suspension is needed to prevent potential unauthorized transfers.
- There is a legal requirement or court order for us to do so (for instance, we receive an order to freeze assets or block your account by a court or regulatory agency).
- Unexpected technical, cybersecurity, or safety issues arise (for example, a critical bug or exploit is discovered that affects your account, and we need to suspend activity to mitigate damage).
- Your actions have harmed or could imminently harm other Users or the reputation of Cleanverse (for example, if you are disseminating malware through the app or harassing other participants).
- Effect of Suspension:
If your account is suspended, you will not be able to use the app or execute transactions with your A-Pass or A-Tokens during the suspension period. We may also prevent you from withdrawing assets or redeeming tokens off the network until the suspension is lifted (to avoid letting illicit funds out). Suspension is intended as a temporary measure while an issue is investigated or resolved. We will make reasonable efforts to notify you (via email or in-app notification) of a suspension and the reason for it, provided that we are legally permitted to do so (in some compliance cases we might be restricted from tipping you off). During suspension, we may ask you for additional information or steps (e.g., reset credentials, provide documents) to reinstate your access. The duration of suspension will depend on the context; for example, a security-based suspension might be lifted once you secure your account and reset keys, whereas a legal hold may last until cleared by authorities. account and reset keys; a legal hold may last until cleared by authorities. - A-Pass Revocation:
In certain cases, Cleanverse may revoke your A-Pass credential. Revocation means that your identity credential is marked as invalid or untrusted on the network. This could happen as part of account termination or separately (for example, you could remain a user but lose a certain status/tier due to new disqualifying information). If your A-Pass is revoked, effectively you lose your verified status and will not be able to send or receive A-Tokens, since the network requires a valid A-Pass. Revocation might be appropriate if, for example, we discover that the documents used for your verification were fraudulent, or if your status changes (e.g., you were an accredited investor but lost that qualification and thus cannot hold certain tokens – we might revoke a higher-tier credential and issue a lower-tier one). We might also revoke A-Pass if required by law (e.g., if a regulator says your KYC must be invalidated). Revocation can be permanent or until re-verification. If circumstances allow (e.g., the issue can be fixed by updating documents), we’ll let you know what steps to take to possibly reinstate or obtain a new credential. - Freezing of Assets:
As mentioned in Sections 5 and 6, Cleanverse has the ability to freeze A-Tokens in your wallet or otherwise restrict movement of your assets under certain conditions. Enforcement actions that involve asset freezing will typically occur if: (a) your account is involved in known fraudulent or illicit transactions; (b) we receive a legal order (such as from a court or regulator) to freeze certain assets; or (c) your A-Pass is revoked due to compliance violations, making your wallet unverified, in which case the tokens there become effectively stuck. If assets are frozen, you will be unable to transfer or redeem them without our intervention. Cleanverse will not take freezing lightly – it is usually a last resort or a legal obligation. We will keep records of any freeze action and, when legally and practically possible, will inform you of the freeze and the general reason (except in scenarios where informing you is prohibited or might undermine an investigation). Asset freezes may remain in effect until lifted by the authority that requested it or until Cleanverse is satisfied that the risk or violation has been addressed (for example, if you resolve a compliance issue or win a legal case that was blocking the assets). - Enforcement by Regulators:
Cleanverse acknowledges that various regulators (in Singapore or other jurisdictions in which we operate) have broad powers to compel actions such as freezing accounts, blocking transactions, or requiring information. We will comply with all valid legal enforcement requests. This means if, for instance, the Monetary Authority of Singapore (MAS) or a law enforcement agency directs us to suspend a particular user’s activities or provide information about transactions, we will do so as required by law. We may not be able to give you prior notice of such regulatory enforcement actions. If you believe an enforcement action against you is in error, you would typically need to take it up with the authority that ordered it, though we will cooperate in conveying any necessary information as appropriate. - User‑Initiated Termination:
You have the right to stop using Cleanverse at any time. You may delete the app, and if you wish to formally close your account, you can contact us with a request to deactivate or terminate your account. Upon our processing of that request, your A-Pass credential will be revoked and you will no longer be able to access the network. Note that terminating your account does not automatically delete historical transaction data (which remain on blockchain and in our records as required by law), and if you have remaining A-Token balances, you should coordinate with us to either redeem them or transfer them out (if allowed) before closing your account, because after termination you won’t have access to do so. If we terminate your account, we may provide a method for you to claim any remaining legitimate assets (for example, redeeming to your bank account) unless prohibited by law or if the assets themselves are under freeze or dispute. - No Liability for Enforcement Actions:
Cleanverse is not liable to you for any damages or losses you may incur as a result of our suspension, termination, credential revocation, or asset freezing actions, provided that such actions are taken in accordance with these Terms or pursuant to legal mandate. You agree that we have the right to take these measures to protect ourselves, our users, and comply with laws, and you waive any claims against us for the consequences of such actions, even if it inconveniences you or results in loss (for instance, if asset values change during a freeze or you miss an investment opportunity because your account was suspended). - Reinstatement:
If the cause of a suspension or freeze is resolved (for example, a false positive compliance alert is cleared, or you have provided satisfactory clarification to us), Cleanverse will promptly reinstate your account and lift any holds. Reinstatement may involve issuing you a new A-Pass credential if the old one was revoked (depending on circumstances, we might need to re-verify your identity). We will work with you to restore normal operations as much as possible once it’s deemed safe and compliant to do so. There may be cases where reinstatement is not possible – for example, if your account was terminated for serious violations or pursuant to law enforcement seizure of funds, we likely cannot reinstate in those scenarios. - Notice of Termination:
Upon terminating your account (whether at your request or by our decision), we will, where practicable, send you a notice of termination. This may include the effective date of termination and a brief explanation (unless we are barred from doing so). Certain provisions of these Terms survive termination – particularly those relating to ownership, limitations of liability, and any obligations arising from your use (like indemnity, if applicable). Termination of the Terms or your account does not mean you are off the hook for any liabilities incurred prior to termination (for example, if you owe fees or if an investigation later finds you liable for misconduct, you could still be pursued legally). - Appeal Process:
If you feel that your account has been wrongfully suspended or terminated, you may contact us at the support email with an explanation and any supporting evidence. Cleanverse will review such appeals in good faith. However, our decision (especially if based on legal compliance reasons) will be final. Cleanverse is not obligated to disclose internal risk assessment criteria or details of its decision-making processes, as that could compromise security protocols or legal investigations. We appreciate users’ understanding that sometimes we must err on the side of caution in a compliance-focused system.
In summary, Cleanverse has the authority to enforce these Terms and the law by restricting or ending your use of the Service if needed. These measures, while hopefully rare, are crucial for maintaining a safe and lawful environment. We will always aim to be fair and proportionate in our enforcement actions.
Intellectual Property Rights
Cleanverse respects intellectual property rights and expects its users to do the same. This section outlines the ownership and permitted use of the intellectual property associated with the Service:
- Ownership of Cleanverse Materials:
Unless otherwise indicated, Cleanverse (and/or its licensors) owns all rights, title, and interest in and to the Service and all content and materials therein. This includes, but is not limited to, the software code (both frontend and backend) of the app, the design of the app and website, the Cleanverse network protocols and smart contracts (to the extent they are proprietary), the trademarks, logos, and service marks of Cleanverse, any informational content (text, images, graphics, illustrations) that we have provided, and any databases or compilations of data made available through the Service. These are protected by copyright, trademark, patent, trade secret, and other applicable intellectual property (IP) laws. Cleanverse, A-Pass, A-Token, and associated logos or slogans may be trademarks of Cleanverse International Pte. Ltd. (whether registered or unregistered). All rights not expressly granted to you in these Terms are reserved by us. - Your Right to Use the Service:
Cleanverse grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service, solely for its intended purpose of personal (or internal business) use in accordance with these Terms. This license allows you to install and run our mobile application on your device and to interact with our website and APIs as necessary to use the Service. It also allows you to display and view content we make available. This license is provided for use of the Service only; it does not convey any ownership or proprietary interest in any aspect of the Service. You may not use the Cleanverse IP for any purpose outside the scope of this license. - Restrictions on Use:
Without our prior written consent (or unless permitted by applicable law notwithstanding this prohibition), you shall not:- Copy, reproduce, modify, adapt, or create derivative works based on any part of the Service or its content. For example, you may not copy our app’s interface design for your own app, or build a competing service by reusing any proprietary code or materials from Cleanverse.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas or algorithms of any portion of the Service (except to the limited extent that applicable law permits such actions for interoperability purposes, and then only with prior notice to us). Particularly, any attempt to extract the smart contract code beyond what is published, or to uncover any server-side logic, is prohibited.
- Remove, obscure, or alter any copyright notices, trademarks, or other proprietary rights notices affixed to or contained within the Service.
- Use any of Cleanverse’s logos or trademarks without authorization, including as part of any product name, service name, or domain name. (You may, however, truthfully state that you are a user of Cleanverse, without implying any endorsement. If you run a business and want to state you support Cleanverse network, etc., please contact us for brand use guidelines.)
- Sell, license, sublicense, distribute, or commercially exploit any part of the Service or content provided through the Service, except as expressly permitted. (Using Cleanverse to conduct transactions for personal/business funds is fine; what we mean is you can’t, say, resell access to our Service or run a service that mirrors our content.)
- Use any automated system (like bots, scrapers) to access or query the Service in a manner that sends more requests or transactions than a human could reasonably perform in the same timeframe, except if you are an institutional user with an API arrangement with us. Normal use of blockchain via wallet or our UI is fine; abusing our systems with scraping or spam is not.
- Input or upload to the Service any content that is proprietary to a third party, unless you have the right to do so. (This Service isn’t a content platform, but for example, if you upload a document for verification, you must have the right to use it – which typically you do, as it’s your ID.)
- Open Source Components:
Some components of Cleanverse’s software or underlying protocols may be released under open-source licenses. In such cases, those components are governed by their respective licenses, which may grant you additional rights to use, modify, or distribute those components. Nothing in these Terms is intended to restrict your rights under an open-source license applicable to Cleanverse’s components. Conversely, if an open-source component is used in our Service, we do not claim ownership of that open-source project, but our particular implementation might still be proprietary. We will provide attributions or source code for open-source portions as required by their licenses (often in-app or on our website). - Feedback:
We welcome feedback, suggestions, or ideas from users about how to improve Cleanverse (“Feedback”). If you choose to provide Feedback, you agree that Cleanverse is free to use such Feedback (and any derivative ideas, concepts, or know-how) without restriction or compensation to you. We may incorporate your Feedback into the Service or develop new features based on it. You hereby grant us a perpetual, irrevocable, worldwide, sublicensable, royalty-free license to use, reproduce, and incorporate any Feedback you provide. (This simply means if you give us an idea or comment, we can use it and we own whatever we develop from it. We won’t, however, publicly attribute the idea to you unless we have permission or it’s in a testimonial context.) - User Content (if any):
Generally, Cleanverse is not a platform for users to publish content (like social posts or media) except maybe if in future there are profile features or chats. To the extent you do post, upload, or otherwise make content available via the Service (for example, if there is a feature to add a profile picture, or if you send messages within an integrated service), you retain any ownership of that content. However, you grant Cleanverse a non-exclusive, worldwide, royalty-free license to use, copy, display, and distribute such content solely for the purpose of providing the Service (for instance, showing your profile picture to you or others you allow, or storing messages you send). We do not claim ownership of your personal content. You are responsible that any content you provide does not infringe others’ IP rights or privacy. - Third‑Party IP:
If you believe that the Service or any content on it infringes your intellectual property rights (for example, if someone has unlawfully used your copyrighted material in our app), please notify us promptly with details so that we can investigate and address the issue (such as removing infringing material, if any). We respect copyright laws like the U.S. DMCA (Digital Millennium Copyright Act) and analogous laws; although we are not US-based, we aim to respond to legitimate IP complaints appropriately. Because the Service is not mainly user-generated content, IP infringements are more likely to involve our use of something; we try to ensure we have licenses or rights for all content we present. - Brand Use:
You may use the name “Cleanverse” or our logos strictly to refer to our products and services in truthful, descriptive contexts (e.g., “Sending A-Tokens via the Cleanverse network”). However, any use of our trademarks in a way that could cause confusion about whether you or your project is affiliated with or endorsed by Cleanverse is not allowed without express permission. If you’re a developer or partner and want to use our name or logo in marketing, please reach out to us for written permission or brand guidelines. - Reservation of Rights:
Except for the limited use rights expressly provided above, no other rights or licenses (express or implied) are granted to you under these Terms, either by estoppel, implication, or otherwise. Cleanverse retains all rights not expressly granted. This means, for example, that we could later decide to license our technology to someone else or use it in another product, and nothing here restricts that.
In summary, please respect Cleanverse’s intellectual property just as we respect yours. Use our Service freely for its intended purpose, but don’t copy or misuse our content, code, or branding outside of what’s allowed. Disclaimers and Limitation of Liability
PLEASE READ THIS SECTION CAREFULLY, as it limits the liability of Cleanverse and defines warranties for the Service. Nothing in this section is intended to limit any rights you may have which are not waivable under applicable law.
- Provided "As Is" and "As Available":
The Cleanverse Service, including the app, network, A-Pass credentials, A-Tokens, and all related features, are provided on an “as is” and “as available” basis without any warranties of any kind, either express, implied, or statutory. Cleanverse, to the fullest extent permitted by law, disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or completely secure. We do not guarantee that the Service will meet your requirements or expectations, or that any results or information obtained through the Service will be accurate, reliable, or complete. For example, while we strive for uptime and fast transaction processing, we do not guarantee that A-Token transfers will always execute immediately or that the network will always be online. Similarly, while we aim for the highest security, we cannot promise that the Service is immune to every possible cyber threat or vulnerability. - No Financial/Investment Advice:
Cleanverse is a platform for compliant transfers of digital assets and is not an investment or brokerage service. Nothing on the Service constitutes financial, investment, or legal advice. Any informational content provided (like market data or explanations of features) is for general information only. You should not interpret any content or communication from Cleanverse as professional advice. You assume all risk when making decisions based on information or functionality available through the Service. If you need professional advice, you should consult qualified professionals outside of the platform. - No Fiduciary Duties:
Cleanverse provides software and connectivity only and does not provide financial, payment, exchange, custody, brokerage, advisory, or fiduciary services. No communications or functionality of the Service constitute advice or a recommendation to engage in any transaction. - Third-Party Risk:
Cleanverse shall have no liability for losses arising from actions, omissions, insolvency, or failures of Licensed Institutions, stablecoin issuers, custodians, banks, payment processors, wallet providers, or verification providers, including failures of redemption, conversion, or settlement outside the Cleanverse environment. - No Guarantee of Lawful Use:
Cleanverse does not represent that the Service is legal or appropriate for use in any particular jurisdiction and disclaims responsibility for your compliance with local laws and regulatory requirements. - Technology and Blockchain Risks:
By using Cleanverse, you acknowledge and accept the inherent risks of blockchain and internet-based systems. This includes, but is not limited to:- Transaction Irreversibility: Blockchain transactions (like A-Token transfers) are generally irreversible once executed. If you send A-Tokens to a wrong address or make a mistake, Cleanverse cannot undo it.
- Smart Contract Vulnerabilities: Although we test and audit our smart contracts, there is always a possibility of bugs or exploits that could result in unexpected behavior, including loss of funds. You understand that interacting with smart contracts carries this risk.
- Network Congestion or Outages: Underlying blockchains (Solana or others Cleanverse might use) can become congested or even fail (temporarily halt or fork). These events could delay your transactions or cause unexpected outcomes. Cleanverse is not liable for any issues or losses arising from blockchain network conditions.
- Cryptographic Risks: There is risk that encryption or cryptographic methods can be compromised or advances (like quantum computing) could make them vulnerable, which could potentially result in theft or loss of assets. We of course adapt to known developments, but such fundamental risks exist in any cryptographic system.
- Third-Party Attacks: You could be subject to phishing attacks, malware on your device, SIM-swaps, or other attacks that are outside Cleanverse’s control, which could lead to unauthorized access to your account or wallet. Cleanverse does not bear responsibility for breaches that occur due to your failure to secure your information or other third-party actions outside our service.
- External Assets and Value Fluctuation:
Cleanverse does not control the value of the underlying assets that A-Tokens represent or other cryptocurrencies. The value of stablecoins or other assets can fluctuate or even drop to zero in extreme cases. By using A-Tokens, you acknowledge that their value depends on external factors (like the solvency of an issuer or market demand) and not on Cleanverse. Cleanverse makes no representations or warranties about the long-term viability or value of any token, coin, or currency used on the platform. Additionally, if you convert one currency to another (either via Cleanverse’s partner or on your own), that’s subject to exchange rates that can change rapidly. You bear all risks related to currency value changes or depegging events. - No Liability for Third‑Party Conduct:
As outlined earlier, Cleanverse works with third-party providers and cannot be responsible for their actions. Cleanverse is not liable for any losses or damages caused by: the bank or payment provider handling your deposit/withdrawal (e.g., if a wire transfer is lost or delayed, or a bank freezes your account outside of Cleanverse’s context); the verification provider (e.g., if their system wrongfully rejects you or misuses data, although we believe they won’t, we disclaim liability if they do); the stablecoin issuer or other network participants (e.g., if an issuer fails to redeem your token due to insolvency or if a bug in a third-party wallet causes loss); or any other external service or hardware (like internet service disruptions, mobile device malfunctions, etc.). Any agreements or terms with those parties will govern your recourse with them. - Indirect and Consequential Damages:
To the maximum extent permitted by law, in no event shall Cleanverse or its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your access or use (or inability to access/use) the Service, even if we have been advised of the possibility of such damages. This includes, without limitation, any loss of profits, loss of data, loss of business, opportunity cost, goodwill, or any other intangible losses. For example, Cleanverse will not be liable if a suspension of your account causes you to miss out on a market opportunity, or if a technical issue causes you stress or inconvenience, or if unauthorized access to your account results in loss (assuming we were not grossly negligent, as clarified below). - Direct Damages Cap:
To the extent that liability is not otherwise excluded and to the extent permitted by law, Cleanverse’s total cumulative liability to you for any claims arising from or related to the Service or these Terms shall not exceed the greater of: (a) the total amount of fees (if any) actually paid by you to Cleanverse for use of the Service in the six (6) months immediately preceding the event giving rise to the claim; or (b) SGD $100 (or the equivalent in your local currency). Since in most cases you pay little or no fees to us directly, this means our liability is quite limited. This cap applies collectively to all claims you might bring in that period and is not per-incident. This limitation reflects the allocation of risk that is fundamental to the arrangement between Cleanverse and users: we provide a (largely free) service with certain assurances, but we cannot assume unlimited liability given the innovative and risky environment of blockchain. - Exceptions:
The limitations and exclusions of liability in these Terms shall apply to the fullest extent permitted by law. However, some jurisdictions do not allow the exclusion of certain warranties or the exclusion/limitation of certain liabilities (like liability for personal injury or fraud, or for gross negligence, etc.). Nothing in these Terms shall exclude or limit Cleanverse’s liability for losses or damages which may not be lawfully excluded or limited under applicable law. Specifically:- If any consumer protection law implies non-excludable warranties, our liability for breach of such warranties is limited (where allowed) to whichever of re-supplying the service or paying the cost of re-supply, at our election.
- If an exclusion or limitation is unenforceable, that portion is severed and the rest remains in effect.
- Release:
To the extent permitted by applicable law, you release Cleanverse and its affiliates and personnel from any and all claims or damages arising out of or in any way connected with any dispute you may have with any other user of the Service or any third party providers. For example, if you have a dispute with a counterparty to a transaction (perhaps you claim you sent them A-Tokens and they didn’t deliver some off-chain goods as promised, in a scenario where Cleanverse isn’t directly involved), that is between you and that counterparty – you release us from claims related to such matters. - Indemnification:
You agree to indemnify, defend, and hold harmless Cleanverse, its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach or violation of these Terms or any applicable law; (b) your misuse of the Service or any aspect of it; (c) your violation of any rights of a third party (for example, if you infringe someone’s IP or data privacy through the platform); or (d) any fraud, negligence, or willful misconduct by you. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you (meaning we can take over handling it), and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without our prior written consent. This indemnification obligation will survive any termination of your account or these Terms. - Force Majeure:
Cleanverse shall not be liable for any delay or failure to perform as required by these Terms (including processing transactions or supporting the Service) because of any cause or condition beyond our reasonable control. This includes, but is not limited to: acts of God, natural disasters, power failures, internet or blockchain outages, war, acts of terrorism, civil disturbances, governmental actions, epidemic/pandemic, labor disputes, and other force majeure events. If such an event occurs, we will make reasonable efforts to mitigate the impact and resume normal operations as soon as feasible. - No Joint Liability:
If Cleanverse is found liable in connection with the Service, we are only responsible for our own share of fault. We will not be jointly and severally liable for damages caused in part by other parties (including users or third parties).

If you’re ever unsure, it might be best not to proceed with a transaction or to seek advice. We stand behind our platform to a reasonable extent, but we need to set these boundaries to continue operating and improving the service sustainably.

- Right to Modify:
Cleanverse International Pte. Ltd. reserves the right to modify, amend, or update these Terms at any time. We may do so for a variety of reasons, such as to reflect changes in our services or practices, to accommodate new features, to comply with legal or regulatory requirements, or for other legitimate business reasons. - Notification of Changes:

We choose Singapore law because Cleanverse International Pte. Ltd. is incorporated in Singapore and we intend to closely align with Singapore's regulatory framework for digital payments and identity services. - Jurisdiction:
You and Cleanverse agree that the courts of Singapore shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims). By using the Service, you consent and submit to the personal jurisdiction of the Singapore courts for the purpose of litigating such disputes. - Forum Convenience:
You agree that Singapore is a convenient and appropriate legal forum, and you waive any objection to proceedings in Singapore courts on the grounds of venue or that the forum is not convenient (forum non conveniens). If you reside outside Singapore, please be aware that any litigation must be brought in Singapore, and you may need to travel or hire legal representation licensed in Singapore. - International Use and Local Laws:

The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. If we do not make such election, disputes shall be resolved in court as stated above.
- International Expansion:
As Cleanverse expands to new countries, we might establish local branches or entities that are subject to local regulation. In such cases, we may provide a localized version of these Terms or separate terms for those regions, which could specify a different governing law or jurisdiction if required by local law. Unless and until such local terms are provided, the above Singapore law and jurisdiction clauses apply globally. We will clearly communicate if any region-specific modifications to governing law or dispute forum are introduced (for instance, through an addendum or separate user agreement for that country). - Consent to Service and Enforcement:
